Terms of Service

These Terms of Service ("Terms") govern your use of the Skyroot Marketing platform operated by Skyroot Marktech Pvt Ltd ("Company", "we", "us"). By registering for or using our platform, you ("Client", "you") agree to these Terms. Please read them carefully.

1. Acceptance of Terms

By accessing or using the Skyroot Marketing platform at skyrootmarketing.com ("Platform"), you confirm that you are at least 18 years old, have the legal capacity to enter into binding agreements, and are acting on behalf of a validly registered business entity.

If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Skyroot Marketing provides a Software-as-a-Service (SaaS) platform that enables businesses to:

The Platform acts as a technology intermediary between your business and Meta's WhatsApp Cloud API. All WhatsApp messages are delivered through Meta's infrastructure.

3. Account Registration

3.1 Account Creation

You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3.2 Business Verification

To access full platform features, you must complete Meta's Business Verification process. You agree to provide accurate business documentation for this purpose.

3.3 WhatsApp Business Account

You must have a valid WhatsApp Business Account (WABA) registered with Meta. By providing your WABA credentials to the Platform, you authorize Skyroot Marketing to make API calls to Meta on your behalf.

3.4 One Account Per Business

Each business entity may maintain one active workspace unless a multi-client arrangement has been agreed upon (Super Admin configuration).

4. Acceptable Use Policy

⚠️ Violation of this section may result in immediate suspension of your account and reporting to Meta, without any refund obligation.

You are solely responsible for obtaining and maintaining valid opt-in consent from all contacts before messaging them. On request, you must be able to provide evidence of consent.

5. WhatsApp & Meta Platform Compliance

Your use of the Platform is also governed by Meta's platform policies:

Meta may independently suspend or restrict your WhatsApp Business Account or refuse to approve templates. Skyroot Marketing has no control over Meta's decisions and will not be liable for service disruptions caused by Meta's actions.

WhatsApp conversation-based pricing is charged directly by Meta. Skyroot Marketing's subscription fees are separate from any charges Meta levies.

6. Subscription, Billing & Payments

6.1 Plans & Pricing

The Platform is available on subscription plans as listed on our pricing page. Prices are in Indian Rupees (INR) and exclusive of applicable GST.

6.2 Billing Cycle

Subscriptions are billed monthly in advance. Your subscription renews automatically unless cancelled at least 3 days before the renewal date.

6.3 Usage Limits

Each plan includes defined limits on contacts, monthly messages, templates, and users. Exceeding plan limits will block further usage until the next billing cycle or until you upgrade.

6.4 Refunds

Subscription fees are non-refundable except where required by applicable Indian consumer protection law. No partial refunds are issued for unused days.

6.5 Price Changes

We may change subscription prices with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

6.6 Suspension for Non-Payment

Accounts with failed payments will be suspended after 7 days' grace period. Suspended accounts' data is retained for 30 days before permanent deletion.

7. Data Ownership & Processing

7.1 Your Data

You retain full ownership of your contact data, message content, and campaign data uploaded to the Platform. We do not claim any intellectual property rights over your data.

7.2 License to Process

You grant Skyroot Marketing a limited, non-exclusive license to store, process, and transmit your data solely for the purpose of providing the Platform services.

7.3 Data Processing

Skyroot Marketing acts as a data processor for your customers' personal data. Our data processing practices are governed by our Privacy Policy. You are the data controller and are responsible for ensuring your use of the Platform complies with applicable data protection laws.

7.4 Data Export

You may export your contacts and campaign data at any time from within the Platform. Upon termination, you have 30 days to export your data before it is permanently deleted.

8. Intellectual Property

The Skyroot Marketing Platform, including its software, design, features, trademarks, and documentation, is owned by Skyroot Marktech Pvt Ltd and protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform during your subscription period solely for your internal business purposes.

You may not copy, modify, distribute, sell, or sublicense any part of the Platform without prior written consent.

9. Disclaimers & Limitation of Liability

9.1 Service Availability

We aim for high platform availability but do not guarantee uninterrupted service. The Platform is provided "as is" and "as available." We disclaim all warranties, express or implied.

9.2 Meta Dependency

The Platform's core functionality depends on Meta's WhatsApp Cloud API. We are not liable for service interruptions, API changes, template rejections, or messaging restrictions caused by Meta.

9.3 Limitation of Liability

Skyroot Marktech Pvt Ltd's total liability for any claims shall not exceed the total subscription fees paid by you in the 3 months preceding the claim. We shall not be liable for any indirect, incidental, special, or consequential damages.

You agree to indemnify and hold harmless Skyroot Marktech Pvt Ltd from any claims, liabilities, damages, or expenses arising from:

11.1 Termination by You

You may cancel your subscription at any time from account settings. Cancellation takes effect at the end of the current billing period.

11.2 Termination by Us

We may suspend or terminate your account immediately without notice if you violate the Acceptable Use Policy, provide false registration information, or if required by law or Meta's policies.

11.3 Effect of Termination

Upon termination, your access ceases immediately. Data is retained for 30 days for export purposes, then permanently deleted.

12. Modifications to Terms

Material changes will be communicated via email to your registered address at least 14 days before the changes take effect. Continued use of the Platform after the effective date constitutes your acceptance of the revised Terms.

13. Governing Law & Disputes

These Terms are governed by the laws of India. Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for 30 days. If unresolved, disputes shall be referred to arbitration under the Arbitration and Conciliation Act, 1996.
